Share scheme and corporate matters lawyer opportunity

We are a firm of chartered accountants that focuses solely on the implementation and management of employee share schemes, providing a complete service to clients which includes valuations, HMRC liaison and legal documentation.

We need someone who has first-rate experience on the legal side of executing EMI, growth share, CSOP and unapproved share and option schemes, who can help our fast-growing business to expand further. The work would include the drafting and finalisation of scheme documents, board minutes, shareholder resolutions, new or amended Articles etc. The new team member would work remotely, on a freelance basis, with input hours growing over time, but you would be a key member of the team, and get involved in business strategy. We would assume that the person would have legal qualifications. Definite potential for a future share in the business for the right person.

As a lawyer within our team, your role would include:

• Advising on commercial and practical issues related to the structure and design of employee equity schemes, principally EMI, growth shares, CSOP and unapproved plans
• Supporting clients with the implementation and operation of employee equity schemes
• Drafting a range of share plan documentation (option agreements, scheme rules, shareholder resolutions, board minutes, employer and employee advice, etc)
• Giving ad hoc practical advice to clients
• Preparation of occasional updates/newsletters to send to clients, in relation to any tax or legal changes and other interesting issues
• Developing client relationships
• Manage client projects from start to finish
